Banking and Finance

We represent numerous domestic banks, foreign banks and other financial institutions in transactional and general advisory capacities.  Our representation includes a broad spectrum of syndicated and bilateral credit facilities for investment-grade, middle market, governmental, not-for-profit and other types of borrowers.

We understand that the goal of our clients is to have transactions closed in an efficient and cost-effective manner and, to that end, we provide business oriented advice and representation and practical solutions.

Facilities

We regularly represent lenders in secured and unsecured revolving credit facilities, term loan facilities, and letter of credit and bankers' acceptance facililties, as well as liquidity facilities for structured finance transactions, commercial paper back-up facilities, senior and subordinated credit facilities, ESOP financings, leveraged buy-outs and acquisition financings involving public and private companies.

Our Group provides advice in structuring these facilities and assists in identifying and addressing issues and risks in these transactions such as fraudulent conveyance and perfections matters involving diverse forms of collateral.

We also have extensive experience in drafting and advising clients on subordination agreements involving traditional public and private subordinated debt, subordination agreements relating to seller financings and intercreditor and subordination agreements for first and second lien credit facililties.

Special Industries

Our expertise extends to special legal considerations involved in the extension of credit to regulated industries, including health care providers, utilities, mutual funds, hedge funds, new media, power generation, project finance, utilities and securities.

We also represent lenders in credit facilities to borrowers in retailing, professional services, including law firms and accounting firms, apparel, gaming, oil and gas and airlines.

Middle Market and Asset-Based Lending

In the middle market and asset-based fields, we regularly represent lenders in credit facililties involving a wide array of businesses and industries, including professional service firms, manufacturers and distributors.

Investment Grade

In the investment grade field, we advise lenders in structuring and documenting credit facilities involving multiple levels of debt, multiple domestic and foreign borrowers, multiple currencies and foreign jurisdictions.

Private Equity Firms and Sponsors

We regularly represent lenders providing financing directly to private equity firms and sponsors to bridge subscriptions, commitments and capital calls.

We also represent lenders providing credit facilities to portfolio companies of private equity firms to refinance existing debt, to finance acquisitions, and to recapitalize portfolio companies.

Not-For-Profit, Educational and Charitable Institutions

We represent lenders in extending credit facilities to not-for-profit corporations such as hospitals, museums and similar organizations, and educational institutions, such as colleges, universities, and private schools.

These facilities include direct credit, such as lines of credit and revolving credit and term loan facilities, and credit support and enhancement and liquidity facilities such as direct-pay and standby letters of credit, and standby bond purchase agreements.

We also represent financial institutions in the direct purchase of tax-exempt bonds.

Public Finance

In the public finance area, we regularly represent financial institutions as issuers of letters of credit and standby bond purchase agreements to support bonds issued by state and local industrial development agencies and development authorities throughout the country.  Our representation includes advising clients on the structuring of such transactions and in the drafting, negotiating and reviewing of letter of credit reimbursement agreements, loan agreements, lease agreements, indentures, bond purchase agreements, mortgages, guarantees and remarketing agreements.

Private Banking

We also represent the private banking and private wealth divisions of many banks.  We regularly counsel lenders and document transactions involving the extension of credit to various types of legal entities.

We have broad experience in the extension of credit to diverse types of borrowers such as personal trusts and business trusts, foreign entities and professional service firms such as law firms and accounting firms.  We also handle transactions involving diverse forms of collateral such as artwork, boats, ships and aircraft, as well as marketable securities and securities of closely held entities such as limited partnerships, limited liability companies and corporations.

Foreign Banks-Commodity and Trade Finance

We represent foreign banks in committed and uncommitted facilities for trade finance and commodities.  We also represent foreign lenders in import and export financings, cross-border financings, and trade finance agreements.

Loan and Debt Sales

Our Group also has extensive experience in representing financial institutions, investment banks, mutual funds, domestic and international hedge funds, broker-dealers and private equity funds in connection with loan sales and the purchase and sale of distressed assets.

We represent lenders and other financial institutions in the bulk sale of loans and in the sale of single loans, including syndicated bank loans and bankruptcy claims, and in related dispute resolution and litigation.
