Gregory M. Yenik

Gregory Yenik specializes in representing major banking institutions acting as indenture trustee, owner trustee, custodian, escrow agent, transfer agent, paying agent, calculation agent, administrative agent and collateral agent and other agency capacities. Mr. Yenik has experience in secured and unsecured corporate finance transactions, asset-backed and mortgage-backed securitizations, global and domestic matters, foreign-currency denominated transactions, Trust Indenture Act-qualified transactions, private transactions pursuant to Rule 144A and Reg S and also custodial and escrow matters. Before joining Emmet, Marvin & Martin, LLP, Mr. Yenik worked as issuer’s counsel for asset-backed securitizations. Mr. Yenik is admitted to practice in both New York and California.

Representative Matters

  • Representation of financial institution acting as trustee for floating and fixed rate note issuances from a major software corporation.
  • Representation of financial institutions acting as indenture trustee and owner trustee in numerous transactions involving the issuance of Notes backed by a revolving pool of receivables originated by the purchase and financing of vehicles by auto dealers.
  • Representation of a financial institution acting as trustee and escrow agent in an issuance of both secured and unsecured notes and the simultaneous redemption of prior-issued secured notes in relation to a merger involving a major computer manufacturer.
  • Representation of financial institutions acting as indenture trustee in connection with secured and unsecured financings by electric and gas utilities.
