Our expertise extends to the special legal considerations involved in providing credit to regulated industries, including hospitals and other healthcare providers, broadcast and cable television, cellular telephone, paging, power generation, project finance, utilities and securities. In the middle market field, we regularly represent lenders in unsecured and secured transactions involving a wide array of businesses and industries, including professional service firms, manufacturers and distributors, and cellular and wireless companies. In representing lenders in all types of transactions, we provide advice in structuring and documenting credit facilities involving multiple levels of debt, multiple currencies and jurisdictions and the expanding second lien loan market. We have extensive experience in drafting and advising clients on subordination agreements involving traditional public and private subordinated debt, subordination agreements relating to seller financings and intercreditor and subordination agreements and issues relating to second lien loans.
