We also handle regulatory matters relating to investment transactions including Investment Company Act exemptions and compliance, Securities Act exemptions (Regulation D and Section 4(2)), Rules 144 and 145, and Exchange Act reporting tax-related issues, Investment Advisors Act compliance and exemptions, Patriot Act compliance, state blue sky compliance, ERISA issues, and partnership restructurings and bankruptcy.We have represented companies in service, manufacturing, food, telecommunications, and retail and mail-order businesses. We handle a variety of commercial matters for our clients including organization, securities offerings, and ongoing corporate, partnership and limited liability company matters. Commercial transactions include mergers and acquisitions, shareholder and employment agreements, licensing, trademark applications, and Internal Revenue Code Section 501(c)(3) applications and compliance.
