We have been intimately involved in the development of new derivative products such as inverse floaters and auction rate receipts, while maintaining an active practice assisting our clients in the issuance of all types of financial products.Issuers and underwriters have often called upon our firm to assist them in structuring financings and developing documentation relating to new financial products because they recognize our expertise as well as our cost effective management style. For example, our practice put us in the vanguard of the development of capital or preferred securities. In the international arena, we helped pioneer the development of the Eurodollar and the structured finance markets for the securities of Latin American, Asian and other emerging issuers. Since 1990, the firm has participated in many of the major international securities offerings by Latin American and other foreign issuers under Regulation S and Rule 144A.Our firm has also developed an excellent reputation in the evolving area of asset securitization. As a result of our reputation in this area, we have been asked to participate in transactions involving some unique structured receivable transactions. In addition to numerous credit card and automobile loan receivable securitizations, we have worked on transactions involving the securitization of farm equipment receivables, health care receivables, CLO's and CBO's, consumer receivables resulting from direct mail marketing and Japanese equipment lease receivables. Clearly, as in all areas of our corporate trust practice, we have not limited ourselves to conventional transactions.Our exposure in the corporate trust area has been very broad in several other respects.

We have worked with every type of issuer, from the largest corporations to the smallest municipalities. We regularly work with most major law firms, brokerage houses and underwriting units of banks.
